Juroszek Family Adds 1.8M Gentoo Shares Ahead of €50M Issue

The latest transaction notification was published on October 13 at 21:34 CET. It records the purchase of 15,484 shares at an average price of SEK 5.168825 each.
MJ Foundation Reaches 22.4M Shares
Following that transaction, the foundation held 22,406,309 shares, representing 16.63% of Gentoo’s outstanding shares and voting rights. MJ Foundation Fundacja Rodzinna is closely associated with Mateusz Juroszek, a member of Gentoo Media’s board.
The foundation has made several purchases this month. An earlier disclosure dated October 1 reported a holding of 20,598,598 shares, or 15.29%.
Comparing the two filings, 15M calculated:
- 1,807,711 additional shares held since October 1;
- 1.34 percentage points added to the foundation’s ownership stake;
- 8.8% growth in the number of shares held over the 12-day period.
These figures reflect the change between the two reported holdings, not one individual transaction.
The October 1 disclosure also put the combined holdings of MJ Foundation, Fundacja Zbigniewa Juroszka Fundacja Rodzinna and Betplay Capital Fundacja Rodzinna at 40,552,786 shares, or 30.10%. That figure describes their position on October 1, before the subsequent purchases.
€100M Refinancing Package Includes Family Funding
On October 1, Gentoo announced a financing package comprising two parts:
- €50 million secured loan from Fundacja Zbigniewa Juroszka Fundacja Rodzinna.
- €50 million planned share issue, fully underwritten by MJ Foundation, the Zbigniew Juroszek foundation and Betplay Capital.
The proposed subscription price is SEK 6.1633 per share. The issue is expected during the fourth quarter, subject to the necessary approvals.
Gentoo intends to use the financing to repay approximately €91.5 million in bonds maturing on December 18, 2026. Another €8.5 million would go toward reducing an existing credit facility. CEO Jonas Warrer described the arrangement as a "clear, fully-committed solution" ahead of the bond maturity.
The refinancing follows a difficult period for the affiliate. In August, 15M reported that second-quarter revenue had fallen 9% year-on-year and the company had reduced its annual guidance.
Shareholders to Vote on November 2
Gentoo has called an extraordinary general meeting for November 2. The agenda includes increasing authorised common shares from 200 million to 250 million and creating unlisted Class Z shares with a 12-month lock-up.
The October purchases have already taken place. The planned €50 million share issue has not been completed, and Gentoo has not announced any changes to its affiliate contracts as part of the financing.
